Tunisia: SANIMED increases its capital in cash and by conversion of debt into shares

The shareholders of SANIMED are invited to an Extraordinary General Meeting to be held on December 18, 2024, at 10 a.m., to discuss the capital increase by conversion of debt into shares and in cash.

According to the agenda, the EGM will decide, subject to the adoption of the resolution on the cancellation of the preferential subscription rights, on a cash capital increase of 5.474 million dinars with an issue premium of 1.025 million dinars through the issue of 4,100,969 new shares with a nominal value of 1.335 dinars each and an issue premium of 0.250 dinars per share.

In addition, the EGM will resolve to increase the company’s capital by 4.632 million dinars, with an issue premium of 867,507 dinars, through the issue of 3,470,031 new shares with a nominal value of 1.335 dinars and an issue premium of 0.250 dinars per share, through the conversion of certain liquid and due debts owed by AGRIMED to SANIMED.

As a result, SANIMED’s share capital will be set at 26.661 million dinars, divided into 19,971,000 registered shares of 1.335 dinars each.
