Tunisia: Poulina Group Holding moves forward with acquisition of Land’Or

Poulina Group Holding (PGH) has taken a new step in implementing its growth strategy by announcing the launch of a majority acquisition project in Land’Or, a leading player in Tunisia’s cheese industry, as part of its plan to consolidate and strengthen its agri-food division.

PGH informed its shareholders and the public that on February 18, it submitted a non-binding offer to the foreign investment fund Maghreb Private Equity Fund IV LLC for the acquisition of a majority stake, direct and indirect, in Land’Or’s capital.

Both parties signed a non-binding offer as a preliminary step in a structured divestment process.

The transaction forms part of a targeted carve-out strategy aimed at supporting the evolution of PGH’s agri-food scope, optimizing resource allocation and reinforcing its position in high-value segments.

“This transaction fully aligns with our strategic vision for the development of our agri-food division. Land’Or is a benchmark player, backed by strong brands, recognized industrial expertise, and significant growth potential in both local and international markets,” said Mahjoub Langar, CEO of Poulina Group Holding.

The offer concerns the acquisition of the stake currently held by Maghreb Private Equity Fund IV LLC, Land’Or’s reference shareholder.

The fund has successfully supported the company’s industrial and commercial growth in recent years and is now planning its exit as part of its normal investment cycle.

The completion of the operation is subject to due diligence, negotiation and signing of definitive contractual documentation, and obtaining all required administrative and regulatory approvals.

The transaction is structured and supported by MAC SA, serving as PGH’s exclusive financial advisor, providing strategic guidance throughout the process.
