Tunisia: SAH (Lilas) increases its capital to more than 80 million dinars

The Société d’Articles Hygiéniques (SAH) announced that its Extraordinary General Assembly, held on July 20th 2022, decided to increase the company’s capital by 16,336,440 dinars by incorporating the reserves and the results carried forward. This will be done by issuing 16,336,440 free shares with a nominal value of 1 dinar each, at the rate of one new free share for 4 old shares with (02) fractional shares

As a result of this increase, the capital of SAH will increase from 65.345.762 TND to 81.682.202 TND.

The shareholders will be able to exercise their rights by benefiting of free new shares, in accordance with the above defined allocation parity or by selling their allocation rights on the stock exchange and this, as from August 22, 2022.

The new free shares will carry dividend rights as from January 1, 2022. The old shares of SAH will be negotiable on the stock exchange, detached from their allocation rights, as from August 22, 2022.

The new free shares will be negotiable on the Stock Exchange as from August 22, 2022 on the same quotation line as the existing shares to which they will be assimilated and this, as from their creation.

The allocation rights will be detached and negotiable on the stock exchange as from August 22, 2022. The Company will proceed to the acquisition and the cancellation of the 02 fractional allotment rights.
